The criteria for qualifying to be classified as a high net worth individual and/ or a sophisticated investor have been developed for regulated investments. Although the investments offered are not regulated investments, GKI has adopted the criteria that has been developed.

Commercial property disclaimer- An investment into commercial property carries a higher degree of risk than many other forms of investment and may be difficult to realise. Investors are strongly recommended to seek independent financial advice as to whether investment in commercial property is suitable. Investors must read fully the relevant Information Memorandum or Prospectus issued in respect of a commercial property transaction, including, in particular, sections headed “Risk Factors” or “Important Information”.  Any GKI investment’s are restricted to persons who are sophisticated investors, high net worth individuals, investment professionals and high net worth companies, unincorporated associations etc, as defined in the Financial Promotion Order. Such investments are speculative, involving a high degree of risk, and are only suitable for investors who are able to evaluate the risks and merits of such investment and have the resources to bear any loss that may result from such investments.

Investments described by GKI must not be distributed to, acted on or relied on by any other persons. Reliance on this information for the purposes of engaging in any investment activity may expose an investor to a significant risk of losing all of the property or other assets invested. The value of investments, and the income from them can go down as well as up and investors may not get back the amount originally invested. Investment in real property is subject to valuations which are generally a matter of a valuer’s opinion. It may be difficult to deal in the assets or shares (if invested through a fund) or to sell them at a reasonable price because the underlying property might not be readily saleable, thus creating liquidity risk.

CERTIFIED HIGH NET WORTH INDIVIDUALS  In order to qualify as a certified high net worth individual, you must have signed, within the last twelve months, a statement declaring that you are a certified high net worth individual and confirming: (a) that you understand that this means that: (i)  you can receive financial promotions that may not have been approved by a person authorised by the Financial Conduct Authority; (ii) the content of such financial promotions may not conform to rules issued by the Financial Conduct Authority;(iii) by signing the statement you may lose significant rights; (iv) you may have no right to complain to the Financial Conduct Authority or the Financial Ombudsman Scheme; and (v) you may have no right to seek compensation from the Financial Services Compensation Scheme; (b) that you are a certified high net worth individual because you had, during the financial year immediately preceding the date of your statement, an annual income to the value of £100,000 or more or you held, throughout the financial year immediately preceding the date of your statement, net assets to the value of £250,000 or more; (c) that you accept that you can lose your property and other assets from making investment decisions based on financial promotions; and (d) that you are aware that it is open to you to seek advice from someone who specialises in advising on investments.

SELF-CERTIFIED SOPHISTICATED INVESTORS- In order to qualify as a self-certified sophisticated investor, you must have signed, within the last twelve months, a statement  declaring that you are a self-certified sophisticated investor  and confirming: (a)  that you understand that this means that: (i) you can receive financial promotions that may not have been approved by a person authorised by the Financial Conduct Authority:(ii) the content of such financial promotions may not conform to rules issued by the Financial Conduct Authority; (iii) by signing this statement you may lose significant rights; (iv) you may have no right to complain to the Financial Conduct Authority or the Financial Ombudsman Scheme; and(v) you may have no right to seek compensation from the Financial Services Compensation Scheme; (b) that you are a self-certified sophisticated investor because: (i) you are a member of a network or syndicate of business angels and have been so for at least the last six months prior to the date of your statement; (ii) you have made more than one investment in an unlisted company in the two years prior to the date of your statement; (iii) you are working, or have worked in the two years prior to the date of your statement, in a professional capacity in the private equity sector, or in the provision of finance for small and medium enterprises; or (iv) you are currently, or have been in the two years prior to the date of your statement, a director of a company with an annual turnover of at least £1 million; (c) that you accept that you can lose your property and other assets from making investment decisions based on financial promotions; and(d) that you are aware that it is open to you to seek advice from someone who specialises in advising on investments. GKI will not permit investors to invest in the investment projects offered unless they are able to meet the criteria set out above.
